The TSX announced today it received the green light to require public companies to obtain shareholder approval for acquisitions that result in the issuance of 25% or more of their outstanding shares. “We are very pleased with this decision,” said Wayne Kozun, head of Public Equities for the Ontario Teachers’ Pension Plan. “The TSX is aligning its governance standards with major international exchanges and improving shareholder democracy, making Canadian capital markets more attractive.”

Simmons Company ("Simmons") and its indirect subsidiary Simmons Bedding Company ("Simmons Bedding"), a leading manufacturer of premium-branded bedding products, today announced that their Boards of Directors have approved a restructuring plan under which they have entered into an agreement that provides for the acquisition of Simmons Bedding and all of its subsidiaries, as well as its parent Bedding Holdco Incorporated, by certain affiliates of Ares Management LLC ("Ares") and Teachers' Private Capital, the private investment arm of the Ontario Teachers' Pension Plan ("Teachers'").

A recent news article pointed out that stock option exchanges are being considered in boardrooms in the U.S. and Canada as directors look for solutions to equity-based compensation plans in light of last year’s market plummet. “Exchanges may sound like a panacea – but as often happens, the devil is in the details,” commented Wayne Kozun, Senior Vice-President, Public Equities. Mr. Kozun said even when stock option exchanges are structured to be cost-neutral from a dilution perspective, this approach will not necessarily tie future compensation payments to company and market outperformance.

The Ontario Teachers’ Pension Plan has delivered a message to fellow Chesapeake Energy shareholders: it intends to withhold upcoming annual general meeting proxy votes for conflicted directors and vote in favour of shareholder proposals calling for de-classification of the board of directors and majority voting for directors. Chesapeake’s annual general meeting is scheduled for Friday, June 12.
