Board Members
	The plan sponsors – the OTF and the Ontario government – select board members with broad experience that is relevant to Teachers’ mandate.
	Since 1990, the OTF and the Ontario government have successfully attracted board members with the appropriate qualifications in investments, finance, accounting, law, actuarial science, business management and technology to properly oversee management’s decisions and actions. Each sponsor appoints four members and, together, they select the chair. Each board member is appointed for a two-year term and can only serve four consecutive terms. All members serve on the Investment Committee. If a member serves on the board of a corporation, trust or other entity that is a reporting issuer under securities laws, this information is disclosed under Affiliations. The first chair, Gerald K. Bouey, was a former governor of the Bank of Canada and served from 1990 to 1996. Ted Medland, former CEO of Wood Gundy Inc., served as chair from 1997 to 1999. Robert W. Korthals, former president of The Toronto-Dominion Bank, was the chair from 2000 to 2006. Eileen Mercier, a former executive with Abitibi-Price Inc., was appointed chair effective January, 2007.

Jill Denham Chair, Human Resources & Compensation Committee Member, Governance Committee Jill Denham is former vice-chair, CIBC Retail Markets. The Financial Post named her one of the Top 50 Most Influential Women in Canada for three consecutive years and, in 2004, U.S. Banker named her the eighth most influential female banking executive in North America.
Helen M. Kearns Vice-Chair, Benefits Adjudication Committee Member, Audit & Actuarial and Governance Committees Helen Kearns is President of R S Bell & Associates Ltd. and sits on numerous not-for-profit boards. She is a former president of Nasdaq Canada and served two terms as a director of the Toronto Stock Exchange.
Hugh Mackenzie Chair, Benefits Adjudication Committee Member, Audit & Actuarial Committee Hugh Mackenzie runs an economic consulting business and has worked as an economist in the public, non-profit and trade union sectors for more than 30 years.
Louis Martel Member, Audit & Actuarial and Governance Committees Louis Martel is Senior Vice-President, Product Development & Client Services for Greystone Managed Investments Inc. He is a fellow of the Society of Actuaries, a fellow of the Canadian Institute of Actuaries and a Chartered Financial Analyst.
Guy Matte Chair, Governance Committee Member, Audit & Actuarial and Human Resources & Compensation Committees Guy Matte is the former Executive Director of the Association des enseignantes et des enseignants franco-ontariens.
Sharon Sallows Member, Governance and Human Resources & Compensation Committees Sharon Sallows is a partner in Ryegate Capital Corp. A former executive at the Bank of Montreal and MICC Properties, Ms. Sallows sits on the board of Riocan Real Estate Investment Trust and is Chair of the Board of Executive Risk Services. Bill Swirsky Chair, Audit & Actuarial Committee Member, Human Resources & Compensation Committee Bill Swirsky is a Chartered Accountant and independent consultant. He is a former executive of the Canadian Institute of Chartered Accountants and a Fellow of the Institute of Chartered Accountants of Ontario.
